License Agreement

This License Agreement ("Agreement") is entered into by and between you ("Licensee") and Scrubs 2 Success, LLC ("Licensor"), governing the use of products and materials ("Products") provided by Scrubs 2 Success, LLC through this sales funnel. By accessing or using any of the Products, you agree to comply with and be bound by the terms and conditions of this Agreement.

Grant of License:

Ownership: All Products provided by Scrubs 2 Success, LLC, including but not limited to digital downloads, courses, materials, and associated content, remain the sole property of Scrubs 2 Success, LLC, and are protected by copyright and other intellectual property laws.

Limited License: Licensor grants Licensee a limited, non-exclusive, non-transferable license to use the Products for personal or business purposes only. This license does not permit Licensee to resell, redistribute, sublicense, or otherwise make the Products available to any third party for commercial purposes.

Prohibited Actions:

Resale Prohibition: Licensee agrees not to resell, distribute, or share the Products, in part or in whole, for commercial gain or otherwise, whether modified or unmodified, without prior written consent from Scrubs 2 Success, LLC.

Personal Sale Prohibition: Licensee further agrees that using the Products for personal sale, whether directly or indirectly, is strictly prohibited.

Intellectual Property: Licensee acknowledges and agrees that Scrubs 2 Success, LLC retains all rights, title, and interest in and to the Products and any associated intellectual property rights.

Termination:

This license is effective until terminated. Licensor reserves the right to terminate this Agreement and the license at any time if Licensee breaches any provision of this Agreement. Upon termination, Licensee must cease all use of the Products and destroy any copies in their possession.

General Terms:

No Warranty: The Products are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

Limitation of Liability: In no event shall Scrubs 2 Success, LLC be liable for any indirect, consequential, special, punitive, or incidental damages arising out of or related to the use of the Products.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of New York, USA, without regard to its conflict of law principles.
